Audit Committee Charter

The Audit Committee assists the Board of Directors in fulfilling its responsibility for oversight of the quality and integrity of the accounting, auditing and reporting practices of the Company, as well as undertaking other duties as directed by the Board, as more fully described in this Charter.

Compensation Committee Charter

The Compensation Committee is responsible for overseeing the Company’s compensation philosophy, policies and programs, the compensation of the Company’s executive officers (including the Company’s Chief Executive Officer) and the Company’s incentive compensation and equity-based plans and other duties as provided in this Charter.

Ethics Policy

The Company believes that all business activities should be conducted with integrity and the highest standards of ethical behavior. Basic principles should guide employee conduct––good judgment and sound business ethics. These principles require that employees strive to avoid conflicts of interest, to comply with laws that govern the Company’s business, and to be fair in all work activities and relationships.
